1. Introduction

Welcome to Relay Direct ("Relay Direct," "we," "us," or "our"). These Terms of Service (

"Terms") govern your access to and use of our website, products, and services (collectively, the "Services"). By accessing or using the Services, you

("you" or "Client") agree to be bound by these Terms. If you disagree with any part of the Terms, then you may not access the Services.

2. Services

Relay Direct provides marketing and advertising services, which may include but are not limited to:

Digital Marketing: Search engine optimization (SEO), pay-per-click (PPC) advertising, social media marketing, email marketing, content marketing.   Traditional Marketing: Direct mail marketing, print advertising, event planning.Creative Services: Graphic design, website design and development, video production.Consulting Services: Marketing strategy development, market research, brand consulting.

The specific services provided to you will be outlined in a separate agreement or proposal ("Service Agreement").

3. Client Responsibilities

Provide Information: You agree to provide accurate and complete information necessary for us to perform the Services.Cooperation: You agree to cooperate with us in all matters relating to the Services.Timely Reviews: You agree to review and provide feedback on deliverables in a timely manner.Compliance with Laws: You agree to comply with all applicable laws and regulations in connection with your use of the Services.  

4. Fees and Payment

Fees: Fees for the Services will be outlined in the Service Agreement.Payment Terms: Payment terms will be specified in the Service Agreement and are due upon receipt of invoice unless otherwise agreed.Late Payments: Late payments may be subject to interest charges or suspension of Services.

5. Intellectual Property

Ownership: Unless otherwise agreed in writing, Relay Direct retains all right, title, and interest in and to the Services, including all intellectual property rights.Client Materials: You grant Relay Direct a non-exclusive, royalty-free license to use, reproduce, modify, and display your materials (e.g., logos, content) solely for the purpose of providing the Services.Deliverables: You will own the deliverables created by Relay Direct for you, subject to full payment of all fees and compliance with these Terms.

6. Confidentiality

Confidential Information: Both parties agree to hold confidential all information disclosed by the other party that is marked as confidential or reasonably should be understood to be confidential.Non-Use: Confidential information will not be used for any purpose other than as necessary to perform the Services.Non-Disclosure: Confidential information will not be disclosed to any third party without the prior written consent of the other party.

7. Termination

Termination for Breach: Either party may terminate the Service Agreement for material breach by the other party, provided that the breaching party is given written notice and an opportunity to cure the breach.Termination for Convenience: You may terminate the Service Agreement for any reason upon written notice to Relay Direct.Effect of Termination: Upon termination, you will pay all outstanding fees for Services rendered up to the date of termination.

8. Disclaimer of Warranties

No Warranties: The Services are provided "as is" and without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.   No Guarantees: Relay Direct does not guarantee specific results from the Services.

9. Limitation of Liability

Indirect Damages: In no event shall Relay Direct be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to these Terms or the Services, whether in contract, tort, or otherwise, even if Relay Direct has been advised of the possibility of such damages.   Direct Damages: Relay Direct's total liability to you for any direct damages arising out of or related to these Terms or the Services shall be limited to the amount of fees paid by you to Relay Direct under the Service Agreement in the twelve (12) months preceding the event giving rise to the liability.

10. Indemnification

You agree to indemnify and hold harmless Relay Direct and

its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including attorneys' fees) arising out of or related to your use

of the Services, your breach of these Terms, or your violation of any applicable law or regulation.

11. Governing Law and Dispute Resolution

These Terms and any dispute

arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.  

12. Entire Agreement

These Terms constitute the entire agreement between you and Relay Direct

with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written.  

13. Modifications

Relay Direct may modify these Terms at any time by posting the revised Terms on its website. Your continued use of the Services following the posting of revised Terms constitutes your acceptance of the revised Terms.

14. Severability If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck from these Terms and the remaining provisions shall remain in full force and

effect.

15. WaiverNo waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of

Relay Direct.

16. NoticesAll notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered

personally, sent by certified mail, return receipt requested, or sent by reputable overnight courier service, addressed as follows:
